These Terms and Conditions (“Terms”) govern your access to and use of the YUANSHENG website located at https://yuansheng.trade and the professional China sourcing services provided by us.

By accessing our Site or utilizing our sourcing, factory auditing, quality inspection, or shipping coordination services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Scope of Services

YUANSHENG acts as a boutique sourcing agent in China. We assist international buyers (“Clients”) in:

  • Identifying and vetting prospective Chinese manufacturers.
  • Negotiating prices, MOQs, and contract terms with suppliers.
  • Conducting on-site factory audits and pre-shipment quality control (QC) inspections.
  • Coordinating ocean/air freight, sample consolidation, and customs clearance.

2. Agency Status & Limitation of Liability (Crucial Disclaimer)

  • No Manufacturing Liability: YUANSHENG acts strictly as a service agent representing the Client’s interests. We are NOT the manufacturer of any goods sourced. The ultimate liability for product defects, safety standards, intellectual property infringements, or production delays lies solely with the third-party Chinese manufacturer/supplier.
  • Inspection Disclaimer: While we perform strict quality inspections according to agreed standards (e.g., AQL), our inspection report represents the condition of the goods at the time of inspection. We do not guarantee that 100% of the products in a batch will be free of defects post-shipping, and we are not liable for any financial losses, custom seizures, or legal disputes resulting from supplier non-compliance.

3. Client’s Obligations

Clients must provide accurate and complete product specifications, target pricing, safety certifications, and quantity requirements. YUANSHENG is not responsible for sourcing failures or product discrepancies resulting from incomplete or inaccurate information provided by the Client.

4. Payment Terms & Commissions

Our sourcing services are subject to fees or commissions agreed upon in writing prior to project commencement (e.g., a service deposit or a percentage of the total purchase order value).

  • All factory deposits and payments are the sole responsibility of the Client.
  • Service fees paid to YUANSHENG are non-refundable once the sourcing, auditing, or inspection services have been initiated.

5. Intellectual Property & Confidentiality

We respect your brand’s intellectual property. We agree to keep all product designs, custom molds, logos, and proprietary business information confidential. We will not share your intellectual property with any third party, except with verified factories for the purpose of receiving manufacturing quotes for your project.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law provisions. Any legal disputes arising from our services shall be resolved through amicable negotiation or submitted to local courts in our jurisdiction.
